By creating an account and using the Quote Hub platform, you agree to the indemnity obligations set out in this document. Please read carefully before proceeding.
You agree to indemnify, defend, and hold harmless Quote Hub (Pty) Ltd, its holding company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers (collectively "Quote Hub Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms of Service or any other platform policy; (b) your use or misuse of the Platform; (c) your interactions with other users, including any disputes arising from quotes, contracts, or payments; (d) any content you submit, post, or transmit through the Platform; (e) your violation of any applicable law, regulation, or third-party right.
Providers specifically indemnify the Quote Hub Parties against all claims, losses, and damages arising from: (a) workmanship defects, property damage, or personal injury caused in the course of providing services contracted through the Platform; (b) failure to maintain required professional licences, insurance, or regulatory compliance; (c) inaccurate catalogue pricing or quote amounts submitted to consumers; (d) BOQ errors, underquoting, or cost overruns; (e) subcontractor actions or omissions where the provider engaged subcontractors. Providers are required to maintain adequate public liability and professional indemnity insurance and must produce proof thereof upon request.
Consumers indemnify the Quote Hub Parties against claims arising from: (a) false or misleading service request descriptions; (b) refusal to pay for services rendered in accordance with an accepted quote; (c) damage caused to providers' equipment or personnel arising from consumer conduct; (d) fraudulent charge-back or payment reversal claims not arising from genuine platform error.
Enterprise account holders (HQ and branch administrators) indemnify the Quote Hub Parties against claims arising from: (a) unauthorised actions taken by team members under their enterprise account; (b) misuse of the multi-branch cataloguing or BOQ auto-quoting features; (c) inaccurate or fraudulent pricing data uploaded to the catalogue; (d) failure to ensure that all branch members comply with platform policies.
Funders indemnify the Quote Hub Parties against claims arising from: (a) funding decisions made in reliance on risk scores, provider profiles, or project data displayed on the Platform; (b) misrepresentation of funding capacity or terms to providers and consumers; (c) failure to disburse committed funding to funded project participants.
Quote Hub acts solely as a technology intermediary facilitating introductions between users. Quote Hub is not a party to any contract, agreement, or transaction between users, is not responsible for the performance of any services, and is not liable for any breach, defect, or dispute arising from user-to-user transactions. All contractual risk remains solely between the contracting parties.
All quotes and invoices generated through the Platform carry an automated disclaimer confirming that Quote Hub is not a party to the underlying transaction and bears no liability for amounts quoted, payment obligations, or service delivery. By using the Platform to generate or accept a quote, users acknowledge and accept this disclaimer.
This Indemnity is governed by the laws of the Republic of South Africa. Any dispute arising under this Indemnity shall be subject to the exclusive jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg. Nothing herein limits Quote Hub's right to seek urgent relief in any competent court.
If any provision of this Indemnity is found to be invalid, unlawful, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed from this document, and the remaining provisions shall continue in full force and effect.
